     Shareholders say they’re not getting enough from defendant Schering-Plough’s $41.1 billion sale to Merck, in Newark Federal Court.




     
     Bondholders say GMAC’s restructuring plan will unfairly subordinate their bonds to the new ones, in Delaware Federal Court. Also sued is Cerberus Capital Management.
     
     Anesiva’s board made it difficult or impossible to be acquired without unfairly benefitting the directors, according to a derivative complaint in Delaware Chancery Court. Anesiva is a biopharmaceutical company.
